Our data-driven, integrated approach reconnects farmers, manufacturers, retailers and consumers through improved food solutions. We are developing crops that optimize both quality and quantity to provide consumers products more closely aligned with their preferences and with greater food traceability. Our technology platform and integration across the value chain creates the potential to shave years off the traditional crop breeding process, make products more sustainable and affordable by reducing resource use as well as decreasing development costs for new food and ingredient products.

The merger with Star Peak II comes at an important time for Benson Hill. We are the picks and shovels of an exploding consumer-driven plant-based food revolution. We plan to extend our competitive advantage by honing our CropOS^® platform, and further advance our breeding capabilities through a state-of-the-art Crop Accelerator facility set to open later this year. We are expanding planting of our proprietary Ultra High Protein (UHP) soybeans as well as other products that provide unique ingredient and feed offerings for the growing plant-based protein and other markets, and we are developing a lineup of additional differentiated products across our Ingredients and Fresh business segments to be launched in the years to come.

Through this transaction, we will not only have access to resources to scale our business, but also a valuable partner in Star Peak II, which brings a history of working with high-quality companies across the sustainability, energy infrastructure, renewables and technology landscape.

We expect to close the transaction in the third quarter of 2021, at which time the combined company shares trading under the Star Peak II stock tickers will convert to the ticker symbol BHIL. Benson Hill will remain a NYSE listed company. And this is just the beginning!
